Ralph -- The Chairman of the Board needs to have a conversation, backed up with a wtitten letter (have him sign a copy for your records), with the member putting him on notice that he either has to adhere to the rules else he will be removed as a director. I'm sure your by-laws has a procedure -- it it does, then use that procedure. In any event, all the rest to the members (at least a mojority) need to agree with this approach.
Then, the very next time he breaks any rule, then remove him with a vote of the Board, all pursuant to the previous notice. It makes no difference what excuse he may have for the breach, he has to go.
